Who you are

You are a seasoned legal professional with a J.D. from an accredited law school and admission to a state bar. You have a strong background in handling various legal issues, particularly in portfolio management and capital development. Your experience allows you to function in a lead capacity, effectively addressing the legal needs of the business while partnering closely with senior management.

You possess excellent negotiation skills and are adept at drafting and interpreting contracts, including investment management agreements and employment agreements. Your ability to manage onboarding and offboarding matters showcases your attention to detail and understanding of the legal landscape in financial services.

Your expertise extends to fund formation and capital development, where you have successfully launched new investor-facing products and updated existing fund documents. You are comfortable preparing and reviewing side letters and maintaining fund side letter logs, demonstrating your organizational skills and ability to manage complex legal documentation.

You thrive in collaborative environments, working closely with stakeholders across various departments, including the CEO, COO, and CFO. Your strong communication skills enable you to effectively partner with business development teams and the capital development team, ensuring that legal considerations are integrated into strategic decisions.

What you'll do

In this role, you will be responsible for drafting, negotiating, and interpreting a wide variety of contracts directly with portfolio managers. You will handle all facets of fund formation and capital development, including launching new investor-facing products and updating existing fund documents. Your role will involve preparing and reviewing side letters, maintaining fund side letter logs, and negotiating placement agent agreements.

You will also assist with investor queries and communications, ensuring that all legal aspects are addressed promptly and accurately. Your ability to spearhead strategic transactions, private equity transactions, and loan documents will be crucial in supporting the firm's growth and compliance with regulatory matters.

Managing outside counsel and other advisers will be part of your responsibilities, allowing you to leverage external expertise while maintaining oversight of legal processes. You will play a key role in ensuring that the legal team supports the firm's strategic objectives and aligns with its overall mission.
