Toptal is hiring a Senior Counsel for Mergers & Acquisitions to support their acquisition strategy. You'll draft and negotiate acquisition documentation and conduct due diligence. This role requires familiarity with legal areas related to M&A transactions.
Job Description
Who you are
You have extensive experience in mergers and acquisitions, with a strong background in drafting and negotiating legal documents. Your familiarity with due diligence processes and integration planning makes you a valuable asset in any acquisition strategy. You understand the complexities of working with internal stakeholders and external counsel, especially in cross-border transactions. You are detail-oriented and possess excellent communication skills, allowing you to convey complex legal concepts clearly to non-legal stakeholders. You thrive in a fully remote environment and are comfortable collaborating with teams across different time zones. You are committed to maintaining high standards of legal compliance and ethics in all transactions.
What you'll do
In this role, you will primarily focus on supporting Toptal's active acquisition strategy. You will draft and negotiate acquisition documentation, ensuring that all legal aspects are thoroughly addressed. Conducting due diligence on potential acquisition targets will be a key responsibility, as will reviewing digital data room materials and disclosure schedules. You will work closely with internal teams to facilitate pre-close integration planning and post-close integration, ensuring a smooth transition for acquired entities. Your role will also involve collaborating with external legal counsel, including local counsel in foreign jurisdictions, to navigate the complexities of international transactions. You will be expected to stay updated on legal trends and best practices in M&A to provide strategic advice to the company.
