Overview
JFrog is seeking a Counsel, Corporate/Securities to join their legal team. You'll be responsible for preparing SEC filings, managing corporate governance matters, and advising on equity processes. This role requires strong legal expertise in corporate and securities law.
Job Description
Who you are
You have a strong background in corporate and securities law, ideally with 5+ years of experience in a similar role. You are business-savvy and resourceful, able to navigate complex legal frameworks while providing practical advice to stakeholders. Your communication skills are top-notch, allowing you to effectively collaborate with various teams, including Investor Relations and Stock Administration. You understand the importance of corporate governance and are familiar with SEC regulations and compliance requirements. You thrive in a hybrid work environment, balancing in-office collaboration with remote flexibility.
What you'll do
As a Counsel, Corporate/Securities at JFrog, you will prepare and review SEC filings and related documents, ensuring compliance with all regulatory requirements. You will manage corporate governance matters, including the preparation of materials, resolutions, and minutes for board and committee meetings. Working closely with Investor Relations, you will assist in the communication of earnings releases and investor updates. You will also oversee equity processes, including the implementation of insider trading policies and pre-clearance processes. Your role will involve acting as a trusted advisor to the Stock Administration team, providing legal guidance on the global equity program. You will be integral in supporting the company's mission to innovate in the DevOps space, ensuring that all legal aspects align with JFrog's strategic goals.
