Job Description
Who you are
You have 5+ years of experience in commercial law, particularly in SaaS contracting and data privacy — you've successfully navigated complex negotiations and understand the nuances of enterprise sales support. Your background in technology law equips you to provide practical, risk-balanced guidance that accelerates deal cycles while protecting the company's interests.
You thrive in a collaborative environment, partnering closely with Sales and Customer Success teams to support deal strategy and contract negotiations — your ability to communicate effectively with cross-functional teams ensures that all parties are aligned and informed throughout the contracting process. You are detail-oriented and adept at drafting, reviewing, and negotiating a variety of commercial agreements, including SaaS subscription agreements, MSAs, and NDAs.
Your experience in a fast-paced technology environment has honed your skills in balancing risk mitigation with business enablement — you understand the importance of developing and maintaining standardized contract templates and fallback positions to streamline the contracting process. You are proactive in identifying potential legal issues and providing solutions that align with business objectives.
Desirable
Experience with security and compliance regulations is a plus, as is familiarity with responding to RFPs and security questionnaires — you are comfortable working with technical teams to ensure that legal requirements are met without hindering business operations. Your strong analytical skills allow you to assess risks and make informed decisions that benefit the company.
What you'll do
As a Senior Commercial Counsel at Veracode, you will play a critical role in supporting the company's SaaS revenue operations — your primary responsibility will be to draft, review, and negotiate customer-facing commercial agreements, ensuring that they align with the company's strategic goals. You will partner closely with Sales and Customer Success teams to provide legal support throughout the deal cycle, helping to accelerate negotiations while safeguarding the company's interests.
You will develop and maintain standardized contract templates and playbooks, streamlining the contracting process and ensuring consistency across agreements — your expertise will be invaluable in training and guiding junior legal staff and other stakeholders on best practices in commercial contracting. You will also support the company in responding to RFPs and security questionnaires, collaborating with technical teams to ensure compliance with relevant regulations.
Your role will require you to stay updated on industry trends and legal developments that may impact the company's operations — you will provide insights and recommendations to senior management on potential legal risks and opportunities. You will also engage in continuous improvement initiatives to enhance the efficiency and effectiveness of the legal department.
