SeatGeek is seeking a Senior Corporate Counsel to provide strategic support for corporate governance, securities law compliance, and strategic transactions. This role requires expertise in corporate and securities law and offers the opportunity to work with various internal teams in a remote setting.
Job Description
Who you are
You have significant experience in corporate law, ideally with a focus on securities and governance matters. You understand the complexities of corporate compliance and have a proven track record of advising on legal matters related to corporate governance and strategic transactions. You are a trusted partner to internal teams, including finance and executive leadership, and you excel in navigating the legal landscape of a growing company.
You possess strong analytical skills and can interpret complex legal documents and regulations. Your communication skills are exceptional, allowing you to convey legal concepts clearly to non-legal stakeholders. You are proactive in identifying potential legal issues and providing solutions that align with business objectives.
Desirable
Experience in a late-stage private company or a public company is a plus. Familiarity with equity plan management and investor relations will enhance your candidacy. You are comfortable working in a fast-paced environment and can manage multiple priorities effectively.
What you'll do
In this role, you will counsel and advise on corporate and securities law matters, ensuring compliance with governance policies and procedures. You will support the board of directors and committees by collaborating with internal stakeholders to prepare meeting agendas and materials. Your expertise will guide the equity team in managing investor relations, including communications and equity transfer requests.
You will provide legal support for strategic transactions, including mergers, acquisitions, and partnerships, ensuring that all legal aspects are thoroughly addressed. Your role will also involve advising on corporate financing transactions and tender offers, contributing to the overall strategic direction of the company.
You will partner with the finance and compliance teams to ensure that corporate entities meet financial and regulatory requirements. Your insights will help shape the company's approach to legal challenges as it navigates its next stage of growth.
