Overview
Serotonin is hiring an Emerging Companies and Venture Capital Associate to handle transactional and corporate law matters. You'll work closely with the Managing Partner on entity formation, equity financing, and corporate governance. This role requires relevant in-house or law firm experience.
Job Description
Who you are
You are a talented attorney with relevant in-house and/or law firm experience in transactional and corporate law. You have a strong understanding of emerging companies and venture capital matters, including entity formation, equity and debt financings, and commercial contracts. Your experience may also include corporate governance, employment, equity compensation, and M&A. You are open to mid-level to senior associate roles and are eager to work closely with the Managing Partner on various legal matters.
Desirable
Experience in web3 and blockchain is preferred, but not required. You are adaptable and willing to learn about new technologies and legal frameworks that are shaping the future of business. You have excellent communication skills and the ability to work collaboratively with clients and team members.
What you'll do
In this role, you will primarily be responsible for handling emerging companies and venture capital related matters. You will assist clients with entity formation and setup, guiding them through the complexities of equity and debt financings. Your expertise will be crucial in drafting and negotiating commercial contracts, ensuring compliance with corporate governance standards, and managing employment and equity compensation issues. You will also take on responsibilities related to capitalization table management and act as outside general counsel for clients. Your work will directly contribute to the growth and success of innovative companies in the tech sector.
